Demo Day 2025

Section 1. Acknowledgements. I acknowledge and represent (i) that I am over eighteen (18) years of age; (ii) that I will be participating in [Demo Day 2025] (the “Golf Activities”) at the Orange County National Golf Center and Lodge (the “Golf Course”); (iii) that any activity I participate in with respect to the Golf Activities are voluntary; and (iv) that the opportunity to participate in the Golf Activities shall be sufficient consideration for this Release and Waiver (this “Release”). I understand, accept and assume all such foreseen and unforeseen risks and dangers inherent and relating to my participation in the Golf Activities. In connection with any injury I may sustain or any other medical condition I may experience during my participation in or with the Golf Activities, I authorize any emergency first aid, medication, or medical treatment (collectively, “Emergency Medical Services”) deemed necessary by the attending certified medical or emergency personnel (collectively, the “Medical Staff”) if I am not able to act on my own behalf. Additionally, I agree to assume responsibility for any reasonable costs, fees or other monetary charges associated with such Emergency Medical Services. Section 2. Release and Waiver. To the fullest extent permitted by applicable law, I hereby release, forever discharge, and covenant not to sue Orange County National Golf Club, LLC, a Florida limited liability company, and its past, present, and future related entities, subsidiaries, affiliates, officers, directors, members, managers, partners, owners (direct or indirect), shareholders, agents, servants, officials, employees, independent contractors, volunteers, successors, assigns, rightsholders, vendors, sponsors, licensees, and all other persons or entities associated with or acting in any capacity on its behalf (collectively, “OCN”), from any and all claims, liabilities, demands, losses, costs and damages of whatever kind or nature, in law or equity, known or unknown, that arise from or relate in any way, directly or indirectly, to my participation in the Golf Activities and the inherent risks associated therewith, other than if due to the willful misconduct of OCN. I FURTHER AGREE THAT OCN SHALL NOT BE RESPONSIBLE FOR ANY DEATH, ILLNESS, PERSONAL INJURY, PROPERTY DAMAGE OR OTHER LOSS SUFFERED AS A RESULT OF MY PARTICIPATION IN THE GOLF ACTIVITIES, OTHER THAN IF DUE TO THE WILLFUL MISCONDUCT OF OCN. I hereby provide the foregoing Release for myself, my personal representatives, assigns, heirs, next of kin and any other person or entity that may be entitled to make such a claim on my behalf. Section 3. Indemnification. I further agree that by signing below, I will indemnify, defend and hold harmless OCN from and against any and all liability arising from, or in connection with, my participation in the Golf Activities other than any liability arising out of OCN’s willful misconduct. I further agree that if, despite this Release or any waiver of liability or assumption of risk in connection with the Golf Activities, I, or anyone on my behalf, makes a claim against OCN, I will, to the fullest extent permitted by applicable law, indemnify, save and hold harmless OCN from any liabilities, claims, demands, losses, costs, and damages which OCN may incur as a result of such claim, including, without limitation, attorneys’ fees incurred by OCN defending against such claims, except for such claims arising out of OCN’s willful misconduct. Section 4. Consent to Utilize Recording. I hereby waive and release any claim of ownership to and acknowledge and agree that OCN owns all media rights (now existing and to be developed) associated with the Golf Activities, including without limitation all accounts, descriptions, recorded or live-streamed images (still or moving), sound recordings, and scoring-related data of and from the Golf Activities, and will not use or authorize others to use such media for any commercial or promotional purpose. I hereby authorize and grant permission to OCN to use my photographed, video recorded or live-streamed image, likeness or name for any electronic or non-electronic form or media. I acknowledge and agree that my image, likeness or name may be reproduced, edited, and used in whole or in part for any and all purposes, including, without limitation, trade, commercial, or advertising purposes (e.g., to directly promote a product or service), and in any and all forms media, including, without limitation, web-based, electronic, print, audio-visual, multimedia, and/or exhibition purposes, in any manner, in perpetuity and throughout the world. I understand and agree that I have no rights to any benefits derived from any such image. Section 5. Governing Law. This Release, as well as any dispute between me and OCN, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles. I agree that if any portion of this agreement is held to be invalid, the balance shall continue in full force and effect. I HAVE READ THIS RELEASE AND I ACKNOWLEDGE THAT NO ORAL REPRESENTATIONS, STATEMENTS OR INDUCEMENTS APART FROM THE FOREGOING WRITTEN STATEMENT HAVE BEEN MADE OR OFFERED TO ME BY OCN. I FURTHER REPRESENT THAT I AM AWARE THAT BY SIGNING THIS RELEASE I AM OR MAY BE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.
